[Newsletter] Trakkers Broadcast – February/March 2021

Hello Trakkers!

As the days get longer and we see more of that glorious sunshine, it reminds us that spring is just around the corner. This means that it is almost time for our Annual General Meeting. Continue reading for more information.

Annual General Meeting – Save the date!

We will be having our virtual Annual General Meeting on Wednesday, May 12, 2021 at 7:00 p.m.

Curious about your Board members for the 2021-2022 season? See them elected here.

More details to come!

Legislation and You – The Corporations Act, Not-for-profit Corporations Act and Trakkers’ By-law

It’s been a quiet year for Trakkers, but the Board has been busy!

The Board determined that this non-operating season was a good time to review the Trakkers by-law, which had been drafted in 2009 and subsequently amended on two occasions.

Trakkers was created pursuant to the Corporations Act (Ontario) (the “OCA”) which is still in effect; however, it is contemplated that new legislation which will eventually replace the OCA, the Not-for-profit Corporations Act, 2010 (Ontario) (the “ONCA”), will come into force in the upcoming year.  Once the ONCA is in effect, existing non-profits will have three years to transition to the new rules.

The Board decided to change the by-laws to conform with the current legislation, the OCA, and also with the ONCA.  The default by-law drafted as regulations to the ONCA were the starting point.  The Board then added various governance provisions (for example, no abstention of vote) and specific provisions included in the 2009 by-laws of Trakkers.

Further, as a result of the pandemic, the Province made temporary amendments to the OCA to provide relief and flexibility as a result of the declared emergency by permitting virtual meetings and providing for an extension of Annual General Meetings. The Board has updated the by-law accordingly so as to not be reliant on temporary emergency legislation in the future.

Prior to the Board approving the proposed changes to the by-law, the Directors wish to invite the membership of Trakkers to review and comment.

Please contact Gina Ang at president@trakkers.ca by March 26, 2021 for further information and text of the proposed new by-law.
